Adobe Subscription Management

  1. Introduction and Purpose

This Adobe Subscription Management Service Schedule (“Service Schedule”) forms part of the Master Services Agreement (“MSA”) between Empreus IT Support (“Provider”) and the Client.

In the event of any conflict between this Service Schedule and the MSA, the terms of this Service Schedule shall prevail to the extent of the inconsistency.

This Service Schedule governs the procurement, administration, and ongoing management of Adobe Creative Cloud and other Adobe subscription products. The Provider resells Adobe licences through an Adobe authorised distributor.

2. Definitions

  • “Adobe Licence” means an Adobe Creative Cloud or other Adobe subscription licence assigned to a user, as specified in the Quote. This may include individual app licences (e.g., Photoshop, Illustrator, Acrobat Pro) or complete Creative Cloud licences.
  • “Adobe Distributor” means the Adobe authorised distributor through which the Provider procures Adobe Licences. The identity of the distributor may change from time to time at the Provider’s discretion.
  • “Adobe Service Term” means the minimum subscription period, as specified in the Quote.
  • “Monthly Adobe Fee” means the recurring monthly fee payable by the Client for the Adobe Licences and managed services, as detailed in the Quote.

3. Scope of Adobe Services

3.1 Licence Procurement and Management

The Provider shall procure Adobe Licences through its Adobe Distributor on behalf of the Client. The Provider will manage licence allocation, assignment, renewal, and account administration.

3.2 User Administration

The Provider shall manage user lifecycle administration, including:

  • Creation and configuration of Adobe user accounts
  • Licence assignment and reallocation as users join or leave
  • Account deactivation and licence recovery upon employee departure
  • Password reset coordination and account recovery

3.3 Software Installation and Updates

The Provider shall assist with the installation and deployment of Adobe applications on the Client’s devices, including initial installation, updates, and patch management. For managed devices, deployment may be coordinated through the MDM Service or Managed IT Services.

3.4 IT Support

All IT support related to the Adobe Services — including helpdesk, application troubleshooting, and associated service levels and rates — is provided under the Managed IT Services – Service Schedule (EMPREUS-SS-MIT-001).

3.5 Exclusions

  • End-user training on Adobe applications (available as an add-on)
  • Graphic design, content creation, or creative services
  • Custom Adobe plugin or script development
  • IT support services (see Managed IT Services)
  • Adobe Stock or other Adobe marketplace purchases (unless included in the Quote)

4. Licensing

4.1 Licence Procurement

Adobe Licences are procured by the Provider through its Adobe Distributor. The Provider will recommend appropriate licence plans based on the Client’s requirements.

4.2 Adobe Licensing Terms

Adobe Licences are subject to Adobe’s End User Licence Agreement (EULA), terms of service, and acceptable use policies. The Client shall comply with all Adobe licensing terms. The Provider does not assume liability for Adobe’s changes to licensing terms, pricing, feature availability, or service levels.

4.3 Annual vs Monthly Licences

Adobe Licences may be procured on an annual commitment or month-to-month basis as specified in the Quote. Annual commitment licences typically offer lower per-user pricing but cannot be reduced in quantity during the commitment period. The Provider will advise on the most cost-effective approach.

5. Adobe Service Term and Renewal

5.1 Minimum Term

The Adobe Services are subject to a minimum Adobe Service Term of 12 months from the activation date, unless otherwise agreed in writing.

5.2 Renewal

At the expiry of the Adobe Service Term, the service shall automatically renew on a month-to-month basis unless either party provides at least 30 days’ written notice of non-renewal.

5.3 Licence Commitments

If the Client terminates during an annual Adobe Licence commitment period, the Client remains liable for the remaining licence fees for the unexpired portion of the annual commitment.

6. Fees and Payment

6.1 Monthly Adobe Fee

The Client shall pay the Monthly Adobe Fee as specified in the Quote. Fees are invoiced in advance in accordance with the Payment – Terms & Conditions.

6.2 Inclusions

  • Adobe Licences for the number and type of users specified in the Quote
  • Ongoing licence management and user administration
  • Software installation and update assistance
  • Account administration and support coordination

6.3 Exclusions

  • Additional Adobe Licences beyond the Quote
  • Adobe Stock or marketplace purchases
  • End-user training
  • IT support services (see Managed IT Services)
  • Custom plugin or script development

6.4 Adobe Price Changes

Adobe may change licence pricing from time to time. If Adobe increases prices, the Provider reserves the right to pass through the increase with at least 30 days’ notice.

6.5 Payment Terms

All payment obligations are subject to the Payment – Terms & Conditions at empreusitsupport.com.au/payment-terms-and-conditions.

7. Client Responsibilities

7.1 User Notifications

The Client shall promptly notify the Provider of new starters, leavers, or role changes affecting Adobe Licence allocation. Delays may result in continued billing for unused licences.

7.2 Licensing Compliance

The Client shall comply with all Adobe licensing terms and shall not share, transfer, or misuse Adobe Licences. The Provider is not liable for penalties arising from the Client’s non-compliance.

7.3 Acceptable Use

The Client shall use Adobe applications in compliance with Adobe’s EULA and all applicable laws.

8. Adobe Distributor

8.1 Relationship

The Provider resells Adobe Licences through an Adobe authorised distributor. The Client’s contractual relationship is solely with the Provider.

8.2 Distributor Changes

The Provider may change the Adobe Distributor at any time without material disruption to the service.

8.3 Adobe Platform

The Adobe services are hosted on Adobe’s cloud platform. The Provider does not make any representations regarding the performance or availability of Adobe’s platform.

9. Confidentiality and Data Protection

The confidentiality and data protection provisions of the MSA and the Privacy Policy apply. Adobe account credentials and licence information are Confidential Information.

10. Warranties and Disclaimers

The Provider warrants that it will manage Adobe Licences in a professional manner. The Provider does not make any representations regarding Adobe’s platform performance, feature availability, or software quality. All implied warranties are disclaimed to the maximum extent permitted by law. Australian Consumer Law rights are preserved.

11. Limitation of Liability

11.1 The Provider shall not be liable for indirect, incidental, consequential, or special damages.

11.2 Aggregate liability shall not exceed the total Monthly Adobe Fees paid in the six (6) months preceding the claim.

11.3 The Provider shall not be liable for Adobe platform outages, feature changes, or pricing changes.

11.4 The Provider shall not be liable for the Client’s non-compliance with Adobe licensing terms.

11.5 Any claim must be brought within twelve (12) months. Limitations do not apply to gross negligence or wilful misconduct.

12. Indemnification

12.1 By the Provider: Indemnification for gross negligence or wilful misconduct.

12.2 By the Client: Indemnification for misuse of Adobe Licences, non-compliance with Adobe terms, or violation of applicable laws.

13. Force Majeure

Standard force majeure provisions apply. If a Force Majeure event prevents performance for more than 30 days, either party may terminate upon written notice.

14. Termination

Termination is governed by the Termination – Terms & Conditions. If terminated during an annual licence commitment, the Client remains liable for remaining licence fees. Upon termination and payment of all fees, the Provider will cooperate with transitioning Adobe account administration to the Client or a new provider.

15. General Provisions

15.1 Relationship to MSA

This Service Schedule supplements and forms part of the MSA. All MSA terms apply.

15.2 Prerequisite Service Schedule

An active Managed IT Services subscription is required for IT support.

15.4 Amendments

No modification shall be valid unless in writing and signed by both parties.

15.5 Severability

If any provision is unenforceable, the remaining provisions remain in full force.

15.6 Entire Agreement

This Service Schedule, together with the MSA and all incorporated documents, constitutes the entire agreement regarding Adobe Subscription Management Services.
