Domain Services

1. Introduction and Purpose

This Domain Services Schedule (“Service Schedule”) forms part of the Master Services Agreement (“MSA”) between Empreus IT Support (“Provider”) and the Client. This Service Schedule should be read in conjunction with the MSA and all referenced legal documents.

In the event of any conflict between this Service Schedule and the MSA, the terms of this Service Schedule shall prevail to the extent of the inconsistency.

This Service Schedule governs the registration, renewal, management, and protection of the Client’s domain name(s). The Provider manages domains through a third-party domain registrar on the Client’s behalf.

2. Definitions

In addition to the definitions set out in the MSA, the following definitions apply to this Service Schedule:

  • “Domain Name” means a registered internet domain name (e.g., .com.au, .com, .net.au, .org) managed by the Provider on the Client’s behalf under this Service Schedule.
  • “Registrar” means the third-party domain registrar through which the Provider registers and manages the Client’s Domain Names. The identity of the Registrar may change from time to time at the Provider’s discretion.
  • “Domain Service Term” means the minimum subscription period for the Domain Services, as specified in the applicable Quote.
  • “Monthly Domain Fee” means the recurring monthly subscription fee payable by the Client for the Domain Services, as detailed in the Quote. Alternatively, domain fees may be invoiced annually as specified in the Quote.

3. Scope of Domain Services

3.1 Domain Registration and Renewal

The Provider shall manage the registration, renewal, and ongoing administration of the Client’s Domain Names, including:

  • New domain name registration on behalf of the Client
  • Timely renewal of existing Domain Names prior to expiry
  • Expiry monitoring and automated renewal management
  • Domain transfer coordination (transferring domains to or from the Provider’s Registrar)
  • Management of multiple Domain Names across various TLDs (e.g., .com.au, .com, .net.au, .org)

3.2 DNS Management

The Provider shall manage DNS records for the Client’s Domain Names, including:

  • A records, AAAA records, and CNAME records for website and service hosting
  • MX records for email routing
  • TXT records for email authentication (SPF, DKIM, DMARC)
  • SRV records for service discovery (e.g., Microsoft 365, VoIP)
  • DNS changes required for website migrations, email changes, or new service integrations
  • DNS propagation monitoring following changes

3.3 Domain Privacy and Protection

Where supported by the Registrar and the domain TLD, the Provider shall enable:

  • WHOIS privacy protection to shield the Client’s personal or business contact details from public WHOIS queries
  • Domain lock (registrar lock) to prevent unauthorised transfers
  • DNSSEC configuration where supported and requested by the Client

3.4 SSL Certificate Coordination

Where the Client requires SSL/TLS certificates linked to their Domain Names, the Provider will coordinate SSL provisioning. SSL certificate management is provided under the Managed Website Services – Service Schedule (EMPREUS-SS-WEB-001) or as a standalone service specified in the Quote.

3.5 IT Support

All IT support related to the Domain Services — including helpdesk, troubleshooting, and associated service levels and rates — is provided under the Managed IT Services – Service Schedule (EMPREUS-SS-MIT-001). The Client must hold an active Managed IT Services subscription to receive support for the Domain Services.

3.6 Exclusions

  • Website hosting (see Managed Website Services)
  • Email hosting (see Microsoft 365 Services)
  • Website development or content management
  • IT support services (see Managed IT Services)
  • Domain dispute resolution or legal proceedings (the Provider can assist with documentation but legal representation is the Client’s responsibility)
  • Premium domain name acquisitions or aftermarket domain purchases

4. Domain Ownership

4.1 Client Ownership

All Domain Names registered or managed under this Service Schedule are and remain the exclusive property of the Client at all times. The Provider administers Domain Names on the Client’s behalf but does not claim ownership of any Domain Name.

4.2 Registrant Details

Domain Names shall be registered with the Client’s details as the registrant (owner). The Provider may be listed as the technical or administrative contact for operational purposes. Upon termination, the Provider will update contact details as directed by the Client.

4.3 Domain Transfer on Termination

Upon termination of this Service Schedule and payment of all outstanding fees, the Provider will facilitate the transfer of Domain Names to the Client’s nominated registrar or new provider within 7 days of the Client’s written request. The Provider will provide any required authorisation codes (EPP/Auth codes) and unlock domains for transfer.

5. Domain Service Term and Renewal

5.1 Minimum Term

The Domain Services are subject to a minimum Domain Service Term of 12 months from the activation date, unless otherwise agreed in writing in the Quote.

5.2 Renewal

At the expiry of the Domain Service Term, the Domain Services shall automatically renew on a month-to-month basis under the same terms, unless either party provides at least 30 days’ written notice of non-renewal prior to the expiry of the current term.

5.3 Domain Registration Periods

Individual Domain Name registrations are subject to the registration periods set by the Registrar and the relevant domain registry (typically 1 or 2 years). The Provider will renew Domain Names in advance of their expiry. If the Client terminates this Service Schedule, the Client remains responsible for any prepaid domain registration fees, which are non-refundable.

6. Fees and Payment

6.1 Monthly Domain Fee

The Client shall pay the Monthly Domain Fee as specified in the accepted Quote. Alternatively, domain fees may be invoiced annually. Fees are invoiced in accordance with the Payment – Terms & Conditions.

6.2 Inclusions

  • Domain registration and renewal management
  • DNS record management and configuration
  • WHOIS privacy protection (where available)
  • Domain lock and security features
  • Expiry monitoring and proactive renewal

6.3 Exclusions

  • Domain registration or renewal fees charged by the Registrar (passed through at cost or included in the Quote as agreed)
  • Premium domain purchases or aftermarket acquisitions
  • SSL certificates (see Managed Website Services or quoted separately)
  • IT support services (see Managed IT Services)

6.4 Payment Terms

All payment obligations are subject to the Payment – Terms & Conditions published at empreusitsupport.com.au/payment-terms-and-conditions, which are incorporated by reference.

7. Client Responsibilities

7.1 Accurate Registrant Information

The Client shall provide accurate and up-to-date registrant contact information for all Domain Names. Inaccurate registrant information may result in domain suspension by the registry. The Provider is not liable for domain suspension caused by inaccurate Client information.

7.2 Timely Decisions

The Client shall respond promptly to the Provider’s requests for DNS change approvals, domain renewal confirmations, or transfer authorisations. Delays in Client responses may result in DNS propagation delays, lapsed domain registrations, or failed transfers.

7.3 Domain Disputes

The Client is responsible for monitoring and responding to any domain name disputes, complaints, or legal proceedings. The Provider can assist with documentation and technical information but does not provide legal representation.

7.4 Acceptable Use

The Client shall not use Domain Names for any unlawful purpose or in breach of the Registrar’s terms of service or the relevant domain registry’s policies.

8. Registrar

8.1 Relationship

The Provider manages Domain Names through a third-party Registrar. The Client’s contractual relationship is solely with the Provider. The Client has no direct contractual relationship with the Registrar.

8.2 Registrar Changes

The Provider may change the Registrar, provided that the change does not disrupt the Client’s Domain Name services. The Provider will manage any domain transfers between registrars transparently.

8.3 Registrar Terms

Domain registrations are subject to the Registrar’s terms of service and the relevant domain registry’s policies (e.g., auDA policies for .au domains). The Provider does not assume liability for actions taken by the Registrar or domain registry.

9. Confidentiality and Data Protection

The confidentiality and data protection provisions of the MSA and the Privacy Policy apply to all data processed under this Service Schedule. Domain registrant information, DNS configurations, and account credentials are Confidential Information.

10. Warranties and Disclaimers

10.1 Provider Warranty

The Provider warrants that it will manage Domain Names in a professional manner and use commercially reasonable efforts to maintain domain registrations and DNS configurations.

10.2 No Guarantee of Availability

The Provider does not guarantee the availability of any particular domain name for registration. Domain availability is determined by the relevant domain registry.

10.3 DNS Propagation

DNS changes may take up to 48 hours to propagate globally. The Provider does not guarantee instantaneous DNS propagation.

10.4 Disclaimer of Implied Warranties

Except as expressly set out herein and in the MSA, the Provider disclaims all implied warranties to the maximum extent permitted by law. Nothing in this Service Schedule excludes or limits any consumer guarantee that cannot be excluded under Australian Consumer Law.

11. Limitation of Liability

11.1 The Provider shall not be liable for any indirect, incidental, consequential, or special damages arising from the Domain Services, including lost business, reputational damage, or loss of goodwill.

11.2 The Provider’s aggregate liability shall not exceed the total Domain fees actually paid by the Client in the six (6) months immediately preceding the claim.

11.3 The Provider shall not be liable for domain suspensions caused by the Client’s inaccurate registrant information, registry policy violations, or domain disputes.

11.4 The Provider shall not be liable for actions or omissions of the Registrar or domain registry.

11.5 Any claim must be brought within twelve (12) months. These limitations do not apply to gross negligence or wilful misconduct.

12. Indemnification

12.1 By the Provider: The Provider shall indemnify the Client from third-party claims arising from the Provider’s gross negligence or wilful misconduct.

12.2 By the Client: The Client shall indemnify the Provider from third-party claims arising from the Client’s domain name usage, domain disputes, or violation of registrar or registry policies.

13. Force Majeure

Neither party shall be liable for delays or failures due to events beyond their reasonable control. If a Force Majeure event prevents performance for more than 30 days, either party may terminate upon written notice.

14. Termination

Termination is governed by the Termination – Terms & Conditions at empreusitsupport.com.au/termination-terms-conditions. Upon termination and payment of all outstanding fees, the Provider will transfer Domain Names to the Client in accordance with Section 4.3.

15. General Provisions

15.1 Relationship to MSA

This Service Schedule supplements and forms part of the Master Services Agreement. All MSA terms apply as if set out in full herein.

15.2 Prerequisite Service Schedule

An active Managed IT Services subscription (EMPREUS-SS-MIT-001) is required for IT support. Without it, the Provider will continue domain administration but helpdesk support will not be available.

15.4 Amendments

No modification shall be valid unless in writing and signed by both parties.

15.5 Severability

If any provision is unenforceable, the remaining provisions remain in full force.

15.6 Entire Agreement

This Service Schedule, together with the MSA and all incorporated documents, constitutes the entire agreement regarding Domain Services.
