Quote – Terms & Conditions

  1. Definitions

  • Provider: Empreus IT Support (trading as Empreus Support Pty Ltd).
  • Client: The party receiving and accepting the Quote.
  • Quote: The formal pricing document issued by the Provider outlining specific goods and/or services offered.
  • Services: Any labour, installation, configuration, consultation, or project work specified in the Quote.
  • Hardware/Software: Any physical or digital products supplied as part of the Quote.

2. Acceptance

Acceptance of the Quote (by signature, email, or electronic approval) constitutes a binding agreement. Once accepted, the Quote cannot be cancelled or altered without the Provider’s written consent. Any cancellation after acceptance may incur charges for costs already incurred, including restocking or supplier fees.

3. Validity

All Quotes are valid for 14 days from the issue date unless otherwise stated. Prices may vary after the validity period due to supplier pricing changes, freight, or exchange rates.

4. Payment Terms

Unless otherwise stated, payment is due upon invoice issue. For projects or hardware supply, the Provider may require a deposit (typically 50%) before work or procurement begins. The remaining balance is payable upon delivery, completion, or as specified in the invoice.

Ownership of all goods remains with Empreus IT Support until payment is received in full. Late payments may attract a 2% monthly interest charge and suspension of further work or delivery.

All payment obligations are also subject to the Payment – Terms & Conditions (EMPREUS-PAY-001), which are incorporated by reference.

5. Scope of Works

The Quote defines the full scope of works or supply. Any variations, additional requests, or unforeseen requirements outside the quoted scope will incur additional charges at the applicable hourly rate as defined in the relevant Service Schedule or at standard rates agreed in writing.

The Provider reserves the right to charge for any travel, freight, or supplier handling fees not included in the original Quote.

6. Delivery and Installation

Delivery and installation dates are estimates only and subject to supplier availability. The Provider is not responsible for delays caused by suppliers, freight, or external factors beyond its control. Once hardware is delivered or installed, risk transfers to the Client.

7. Warranty

Hardware and software carry manufacturer warranties only. Warranty support is provided in accordance with the vendor’s policies.

Service work performed by the Provider is warranted for 14 days from completion against defects in workmanship only. This warranty does not cover user error, misuse, or third-party interference.

8. Liability

The Provider shall not be liable for indirect or consequential loss, including but not limited to data loss, downtime, or loss of revenue. The Client is responsible for maintaining their own backups and system recovery measures. The Provider’s total liability shall not exceed the total amount paid for the relevant goods or services.

9. Returns and Cancellations

Hardware or software purchases are non-returnable once ordered unless approved by the manufacturer or supplier. Any approved returns may be subject to restocking and freight fees.

Project cancellations after commencement will be invoiced for time, materials, and any supplier costs already incurred.

10. Confidentiality

Both parties agree to keep any commercially sensitive information shared during the engagement strictly confidential.

11. Governing Law

These Terms & Conditions are governed by the laws of the State of Victoria, Australia. Any disputes shall be settled in the courts of Victoria.

12. Acceptance Declaration

By accepting this Quote, the Client acknowledges that they have read and agreed to these Terms & Conditions, authorise Empreus IT Support to proceed with the quoted supply and/or services, and accept responsibility for all charges as outlined in the Quote and any approved variations.
